These General Terms and Conditions of Sale ("Terms") govern all quotations, orders, and sales of electronic components and related products made by Connectiko to any professional buyer ("Buyer"). By submitting a purchase order or accepting a quotation from Connectiko, the Buyer accepts these Terms in full.

2. Scope and purpose
Connectiko sources and distributes electronic components, with a particular focus on assisting professional buyers facing supply chain disruptions, allocation, or shortage situations. These Terms apply to all sales made by Connectiko, to the exclusion of any conditions issued by the Buyer, unless expressly agreed in writing by Connectiko.
3. Quotations and orders
Any RFQ submitted to Connectiko is processed on a best-effort basis and does not constitute a binding offer. Quotations are valid for the period stated, or, if not stated, for 7 calendar days from the date of issue or limited to the availability of the stock offered, given the volatility of availability and pricing in shortage-market conditions. An order is deemed firm only upon Connectiko's written order acknowledgment. The Buyer is responsible for the accuracy of the information provided in its order.
4. Pricing
Prices are exclusive of VAT, duties, and shipping costs unless stated otherwise. Given the nature of shortage-market sourcing, prices may fluctuate significantly prior to order confirmation. Once an order is confirmed in writing, the agreed price is fixed for that order.
5. Payment terms
Payment is due according to the terms stated on the invoice. Late payments may incur late payment interest at the statutory rate under French commercial law (Article L441-10), plus a fixed recovery fee of €40 (Article D441-5), without prejudice to any additional damages. Connectiko may suspend or cancel pending deliveries in the event of late or non-payment.
6. Retention of title
Ownership of the goods remains with Connectiko until full payment has been received. Risk of loss or damage transfers to the Buyer upon delivery in accordance with the agreed Incoterm.
7. Delivery
Delivery times are estimates only and are not guaranteed, given the volatility inherent to shortage-market sourcing. Delivery is made in accordance with the Incoterm® agreed in the order confirmation; absent agreement, delivery is deemed EXW (Ex Works) France. Partial deliveries may be made. Connectiko is not liable for delays caused by its suppliers, carriers, customs authorities, or force majeure.
8. Component origin, traceability, and conformity
Connectiko sources components through its supplier network, which may include open-market and independent channels in addition to authorized channels, particularly for products affected by shortage. Documentation (certificate of conformity, date/lot code, source declaration) is provided where available upon reasonable request. Connectiko applies commercially reasonable verification procedures to reduce the risk of counterfeit or non-conforming parts. The Buyer is responsible for qualifying components for its intended application.
9. Inspection and claims
The Buyer must inspect goods on receipt and notify any apparent non-conformity, shortage, or damage within 10 business days of delivery; hidden defects within 30 calendar days. No return is accepted without prior written RMA authorization. Failure to notify within these limits is deemed acceptance.
10. Warranty and liability
Connectiko's liability is limited to replacement of non-conforming goods or, at its discretion, a refund of the price paid. Total liability under an order shall not exceed the total price paid for that order. Connectiko is not liable for indirect or consequential damages, except in case of gross negligence or willful misconduct. Nothing herein excludes liability that cannot be excluded under French law.
11. Export control and compliance
The Buyer shall comply with all applicable export control, sanctions, and end-use regulations (EU, French, and where applicable EAR/ITAR), and shall not resell or export components to any prohibited destination, entity, or end-use.
12. Force majeure
Connectiko is not liable for failure or delay resulting from events beyond its reasonable control, including natural disasters, war, epidemic, strikes, transport disruption, supplier failure, government action, or global component shortages.
13. Intellectual property
All part numbers, trademarks, and manufacturer designations remain the property of their respective owners and are used for identification purposes only.
14. Confidentiality
Each party shall keep confidential any commercial, technical, or pricing information disclosed in connection with an order, and shall not disclose it to third parties without prior written consent, except as required by law.
15. Personal data
Personal data collected in connection with an order is processed in accordance with Connectiko's Privacy Policy.
16. Governing law and jurisdiction
These Terms are governed by French law. Any dispute shall be submitted to the exclusive jurisdiction of the competent court of Antibes, France.
17. Miscellaneous
If any provision is held invalid, the remaining provisions remain in full force. Connectiko may update these Terms at any time; the version applicable to an order is the one in force at the date the order is confirmed.
